1. GENERAL PROVISIONS
1.1. The NGO "THAT DAY" (hereinafter referred to as the Organization) is a voluntary, non-governmental, non-profit public organization that unites on a voluntary basis citizens of Ukraine, foreign citizens and stateless persons who are legally in Ukraine and have reached the age of 14 on the basis of unity of interests for the joint realization of their rights and freedoms, goals and activities provided for in this Charter.
1.2. The Organization shall operate on the basis of legality, humanity, common interests and equality of rights of its members, transparency, voluntariness and self-government.
1.3. The Organization has the status of a legal entity, which it acquires from the moment of its state registration in accordance with the procedure established by the current legislation.
1.4. The organization is guided by the Constitution of Ukraine, the Civil Code of Ukraine, the Law of Ukraine On Public Associations, and other legal acts, as well as this Charter.
1.5. The organizational and legal form of the Organization is a public organization.
1.6. The organization has the right to realize its goal(s) with other public associations by concluding with them on a voluntary basis agreements on cooperation and/or mutual assistance, forming public unions in accordance with the current legislation, as well as in any other way not prohibited by the laws of Ukraine.
1.7. The organization extends its activities throughout Ukraine.
1.8. Name of the Organization in Ukrainian:

1.9. Name of the Organization in English:
· Full name: NON-GOVERNMENT ORGANIZATION «THAT DAY»;
· Abbreviated name: NGO «THAT DAY».
1.10. The purpose of the Organization's activities is not to make a profit.
1.11. The Organization shall have the right, in accordance with the procedure established by the current legislation, to employ employees, to use hired labor by concluding employment contracts and employment agreements. The relations arising with employees shall be regulated within the framework of the current legislation of Ukraine on labor, social security and social protection.
2. PURPOSE AND AREAS OF ACTIVITY OF THE ORGANIZATION
2.1. The purpose(s) of the Organization's activities are to promote the acceleration of Ukraine's victory in the war against the aggressor and to help the population overcome the consequences of the war, as well as to satisfy and protect the legitimate social, economic, creative, age, cultural and other common interests of its members.
2.2. In order to achieve its goal(s), the Organization sets itself the following areas of activity:
2.2.1. promoting the process of spiritual and cultural revival of the Ukrainian people;
2.2.2. facilitating assistance to the Armed Forces, other military formations, law enforcement (special) agencies, civil defense agencies, volunteer formations of territorial communities, and other persons ensuring national security and defense, repulsion and deterrence of armed aggression of a foreign state, as well as persons who have suffered or may suffer from such armed aggression;
2.2.3. Facilitating the attraction of humanitarian aid, including vehicles, from individuals and legal entities, including from abroad within the framework of the current legislation, without the purpose of making a profit;
2.2.4. promoting the country's defense capability and mobilization readiness, protection of the population in emergency situations of peace and martial law;
2.2.5. providing assistance to combatants - military personnel (reservists, persons liable for military service), employees of the Armed Forces of Ukraine, the National Guard of Ukraine, and other military formations formed in accordance with the laws of Ukraine who defend (defended) the independence, sovereignty and territorial integrity of Ukraine, and who are directly involved in repelling the armed aggression of the Russian Federation, as well as assistance to family members of such combatants;
2.2.6. assistance to enterprises, institutions and organizations involved in repelling and deterring armed aggression, ensuring national security and defense of Ukraine, as well as assistance to employees of such legal entities and their families;
2.2.7. providing combatants and other persons involved in the defense of the state with special personal protective equipment, vehicles, surveillance equipment, medicines, personal hygiene products, food and other items in compliance with the requirements of Ukrainian legislation;
2.2.8. Assistance in creating a system that provides treatment, strengthening of physical and moral and psychological condition of the Organization's members, military personnel, members of their families and families of the deceased, volunteers, persons with disabilities as a result of war, and increasing their social activity;
2.2.9. Assistance or participation in the development and implementation (or independent development and implementation) of non-profit projects, programs in the field of health care, rehabilitation and social adaptation of military personnel, war veterans, family members of the deceased, veterans of military service, prisoners of war, military personnel and their families, combatants and civilians, persons with disabilities, persons with disabilities as a result of war, volunteers, their families and/or other persons;
2.2.10. Promoting social and legal protection of the population affected by the Russian aggression, providing assistance in improving living conditions, household and other services;
2.2.11. Promotion of charitable activities, which consists in transferring aid to the Armed Forces of Ukraine, its formations, TROs, citizens of Ukraine, etc.;
2.2.12. Assisting in the restoration and reconstruction of Ukraine as a result of military operations, promoting investment in the communities and territories of Ukraine;
2.2.13. promoting the implementation of state, regional, local and international programs aimed at improving the socio-economic situation of citizens, including those who were forced to leave their homes as a result of Russian aggression;
2.2.14. facilitating the purchase, search and transportation of food, hygiene products, clothing and other items needed by Ukrainian citizens in the territories where hostilities are/were taking place;
2.2.15. facilitating the creation of shelters, providing temporary and permanent housing for affected groups of society from the invasion of Ukraine by the russian federation, combatants and other persons involved in the defense of the state;
2.2.16. Bringing free legal aid services closer to each individual, especially to socially vulnerable citizens (low-income persons, orphans, children deprived of parental care, refugees, internally displaced persons);
2.2.17. Providing social, educational, psychological and other assistance to vulnerable groups of the population;
2.2.18. promoting social integration and providing assistance to affected groups of society from the brazen invasion of the Russian Federation into the territory of the state of Ukraine;
2.2.19. promoting the implementation of state, regional, local and international programs aimed at improving the socio-economic situation of citizens, including those who were forced to leave their homes as a result of Russian aggression;
2.2.20. Assistance in addressing the various needs of people affected by Russian aggression;
2.2.21. facilitating the organization of reception, accounting, unloading and distribution of humanitarian aid;
2.2.22. within the limits of the current legislation, lease vehicles, warehouses, offices or housing for the purpose of carrying out statutory activities without the purpose of making a profit;
2.2.23. development and public control over the consideration and implementation of legislative initiatives and programs related to the purpose of the Organization's activities;
2.2.24. Promoting the efficiency of government and local self-government institutions;
2.2.25. publishing practical and methodological recommendations, articles, brochures and books related to the main purpose and priority areas of the Organization;
2.2.26. Implementation of scientific, media and educational programs in the field of safe psychological assistance and rehabilitation of Ukrainian citizens and the military;
2.2.27. Assist the authorities and local self-government bodies in developing an effective social policy in relation to internally displaced and temporarily displaced persons from the armed conflict zone, as well as persons in the combat zone and the frontline area, including pensioners and persons with disabilities;
2.2.28. Promoting the improvement of the social protection system, democratic, progressive reforms in the political, economic, social and other spheres of society;
2.2.29. Assistance in the formation of a system that provides accommodation, treatment, rehabilitation, humanitarian support, job creation, strengthening of the physical and moral and psychological state of internally displaced and temporarily displaced persons from the armed conflict zone, as well as persons in the combat zone and the frontline zone, including pensioners and persons with disabilities;
2.2.30. promoting the development of humanitarian relations with organizations supporting refugees and internally displaced and temporarily displaced persons from Ukraine and foreign countries;
2.2.31. Assistance in providing psychological, legal, technical, humanitarian and other types of assistance and targeted delivery to internally displaced persons, residents of the occupied and frontline territories, residents of frontline cities, including pensioners and persons with disabilities, and other interested parties;
2.2.32. Promoting the improvement of the socio-political life of the population of Ukraine;
2.2.33. promoting activities in the field of prevention and health protection of citizens, as well as promoting a healthy lifestyle, improving the moral and psychological state of internally displaced persons, pensioners, people with disabilities, and their families;
2.2.34. assistance in organizing and implementing comprehensive measures to provide all types of humanitarian assistance to internally displaced persons;
2.2.35. Promoting the strict observance of constitutional rights and freedoms of man and citizen, protecting the constitutional order, improving the system of political power in order to strengthen democracy and moral foundations of society;
2.2.36. Assisting in the development of a developed civil society and a legal, democratic state, ensuring the rule of law, protecting the rights and freedoms of Ukrainian citizens;
2.2.37. promoting the reform and improvement of Ukrainian legislation on statutory activities;
2.2.38. obtaining, in the manner prescribed by applicable law, the necessary information from public authorities and management bodies and local self-government bodies to carry out its statutory activities;
2.2.39. promoting the principles of mutual support and brotherhood, business cooperation between members of the Organization;
2.2.40. Promoting the establishment and development of a legal, democratic and developed civil society in Ukraine;
2.2.41. Promoting compliance with the laws of Ukraine by exercising public control over the activities of state and local governments;
2.2.42. conducting information activities on the issues of the statutory activities of the Organization, in particular, dissemination of information about the activities of the Organization, through information and educational events, publications in the periodicals, participation in the creation of television and radio programs, videos, the subject of which follows from the purpose and directions of the Organization's activities;
2.2.43. development of international relations on statutory activities, participation in international events, exchange, dissemination and adaptation of positive work experience;
2.2.44. protecting the legitimate rights and interests of the Organization's members and other citizens.
2.3. To achieve its purpose, the Organization shall have the right in accordance with the procedure established by law:
2.3.1. freely disseminate information about their work and areas of activity in any legal way, and promote their goal(s);
2.3.2. submit proposals to state and local authorities;
2.3.3. to hold peaceful assemblies;
2.3.4. to establish a media outlet;
2.3.5. to prepare, print and distribute information materials in any way not prohibited by law in order to protect the rights, interests and fundamental freedoms of its members and to realize the purpose of the Organization;
2.3.6. represent and protect its rights and legitimate interests, as well as the rights and legitimate interests of its members, other legal entities and individuals in state and local governments, all judicial institutions of Ukraine, enterprises, institutions, public and other organizations;
2.3.7 take initiatives on various issues of public life;
2.3.8. maintain direct international contacts and establish cooperation with foreign and international organizations;
2.3.9. establish legal entities (companies, enterprises), as well as establish enterprises necessary to fulfill the statutory purpose(s);
2.3.10. act as a party to civil law relations, acquire property and non-property rights in accordance with the current legislation of Ukraine;
2.3.11. hold conferences, seminars, trainings, congresses, round tables, press conferences, forums, meetings, public hearings, training (educational) courses, summer schools, lectures, symposia, congresses, concerts, festivals and other public events without the purpose of making a profit from these activities;
2.3.12. distribute publishing products without the purpose of making a profit from this activity;
2.3.13. проводити громадську експертизу та здійснювати громадський аналіз проектів законів та інших нормативно-правових актів;
2.3.14. to receive, in the manner prescribed by law, public information in the possession of public authorities and other public information managers;
2.3.15. conduct public investigations into violations of the rights and fundamental freedoms of citizens;
2.3.16. participate, in accordance with the procedure established by law, in the work of advisory, consultative and other auxiliary bodies established by state authorities and local self-government bodies for consulting with public associations and preparing recommendations on issues related to their activities;
2.3.17. to conclude agreements on cooperation and/or mutual assistance with other public associations on a voluntary basis, to form public unions in accordance with the law;
2.3.18. to cooperate with foreign non-governmental organizations and international governmental organizations in compliance with the laws of Ukraine and international treaties of Ukraine, ratified by the Verkhovna Rada of Ukraine;
2.3.19. independently dispose of their property and funds remaining after payment of taxes and other mandatory payments in accordance with the current legislation of Ukraine;
2.3.20. to be, in accordance with the law, the executor of the state order;
2.3.21. have other rights not prohibited by the current legislation of Ukraine.
3. LEGAL STATUS OF THE ORGANIZATION
3.1. The organization is created for an indefinite period.
3.2. The organization has separate property, an independent balance sheet, opens accounts in banking institutions, including foreign currency accounts, and has property and non-property rights in accordance with the current legislation of Ukraine.
3.3. The Organization may have its own seal, stamps with its name, may have letterheads, symbols (emblem, flag), samples of which are approved by the General Meeting of the Organization. The symbols of the Organization shall be registered in accordance with the procedure established by the current legislation.
3.4. The Organization shall be liable for its obligations with all the property it owns and which may be subject to foreclosure in accordance with the current legislation of Ukraine.
3.5. The Organization shall not be liable for the obligations of its members, and members shall not be liable for the obligations of the Organization.
4. MEMBERS OF THE ORGANIZATION, THEIR RIGHTS AND OBLIGATIONS
4.1. Members of the Organization may be citizens of Ukraine, foreigners and stateless persons who are legally in Ukraine, who have reached the age of 14, recognize and support the purpose and activities of the Organization provided for in this Statute.
4.2. Admission to membership in the Organization is carried out by the General Meeting on the basis of a personal written application. The application for membership in the Organization shall be submitted to the Chairman of the Organization.
4.3. A candidate for membership in the Organization shall become a member of the Organization from the moment the relevant decision is made by the General Meeting. In confirmation of membership, by decision of the General Meeting, members of the Organization may be issued the following certificates (membership cards).
4.4. Members of the Organization may pay entrance, membership and/or voluntary fees. The decision on payment of contributions, the amount and procedure for payment of contributions of members of the Organization shall be determined separately by the General Meeting of the Organization.
4.5. A member of the Organization shall terminate its membership in the Organization by submitting a personal application to the Chairman of the Organization. Membership in the Organization shall be terminated from the moment of submission of the application for withdrawal from the Organization, except for the Head of the Organization and the Deputy Head of the Organization, whose membership in the Organization shall be terminated from the day following the day of election of a new Head of the Organization or Deputy Head of the Organization.
4.6. A member of the Organization has the right to submit an application for withdrawal in person or by mail, with the signature on it certified by a notary.
4.7. Membership in the Organization shall be automatically terminated in the event of:
4.7.1. Recognition of an individual as incapacitated or with limited capacity;
4.7.2. death or declaration of an individual as deceased.
4.8. The General Meeting of the Organization shall have the right to exclude a member from the membership of the Organization in the following cases:
4.8.1. if the activities of a member of the Organization contradict the purpose of the Organization, impede its achievement;
4.8.2. systematic violation of the requirements of this Charter;
4.8.3. a single act or omission by such a member that discredits the Organization, undermines its authority, business reputation or creates such a threat;
4.8.4. systematic failure to implement decisions of the Organization's governing bodies or refusal to implement them.
4.9. All members of the Organization have equal rights.
4.10. The decision of the General Meeting of the Organization to expel a member of the Organization from the membership of the Organization may be appealed by such a member to the court.
4.11. In the event of voluntary withdrawal or expulsion from the Organization, funds and other property contributed to the Organization by its member shall not be returned to him/her, except as provided by the current legislation of Ukraine.
4.12. Members of the Organization have the right to:
4.12.1. receive any information about the activities of the Organization;
4.12.2. to elect and be elected to the statutory bodies of the Organization;
4.12.3. to make proposals to the governing bodies of the Organization on issues related to its activities;
4.12.4. appeal against decisions, actions and inaction of the governing bodies of the Organization;
4.12.5. terminate its membership in the Organization on the basis of the submitted application.
4.13. Members of the Organization are obliged to:
4.13.1. participate in the work of the Organization;
4.13.2. comply with the provisions of this Charter;
4.13.3. implement decisions of the Organization's governing bodies;
4.13.4. promote the dissemination of information about the Organization's activities;
4.13.5. fulfill its obligations to the Organization in a timely manner;
4.13.6. to conduct educational work to spread the Organization's programs and attract new members;
4.13.7. adhere to the norms of morality and professional ethics and the obligations assumed;
4.13.8. to popularize the ideas and goals of the Organization and to promote its prestige;
4.13.9. refrain from actions that may harm the legitimate interests of the of the Organization and its members;
4.13.10. pay contributions established by the governing bodies of the Organization in a timely manner and in full.
4.14. Members of the Organization may be awarded honorary titles for active participation in the work of the Organization and for significant contribution to its development.
5. ORGANIZATIONAL STRUCTURE
5.1. To perform its functions, the Organization shall establish an organizational structure consisting of:
5.1.1. General Meeting.
5.1.2. Head of the Organization.
5.1.3. Deputy Head of the Organization.
6. GOVERNING BODIES OF THE ORGANIZATION
6.1. The supreme governing body of the Organization is the General Meeting.
6.2. All members of the Organization have the right to participate in the General Meeting.
6.3. The General Meeting shall be convened by the Chairman of the Organization at least once a year. By decision of the Chairman of the Organization or at the written request of at least 10% of the members of the Organization, an extraordinary General Meeting shall be convened within thirty days. If the request of the members of the Organization is not fulfilled, they have the right to convene an extraordinary General Meeting themselves. The regular/extraordinary General Meeting shall have the right to make decisions in the presence of a majority of the members of the Organization, namely, in the presence of at least 50% of the total number of members of the Organization plus one vote.
Each member of the Organization participating in the General Meeting shall have one vote. Resolutions on any issue specified in subparagraphs (6.4.1), (6.4.5 - in the part of alienation of the Organization's property for the amount of fifty percent or more of the Organization's property), (6.4.7) of paragraph 6.4. of the Charter, require a majority of at least 3/4 of the votes of the members of the Organization present and participating in the voting. Resolutions on other issues shall be adopted by a simple majority of votes of the members (50% plus 1 vote) present and participating in the voting.
By the decision of the Chairman of the Organization, meetings and resolutions of the General Meeting may be held by voting through the use of communication means. Meetings of the General Meeting of the Organization may be held both with the direct participation of members (their authorized representatives by proxy) and via the Internet using audiovisual computer programs for online conferences. The decision on the form of holding such a meeting shall be made by the Chairman of the Organization and shall notify the members of the Organization of the decision no later than 10 days before the date of such a meeting of the General Meeting.Decisions taken at meetings of the General Meeting using communication means shall be drawn up in minutes no later than the next day after their holding.
6.4. The exclusive competence of the General Meeting shall include decision-making on:
6.4.1. approval of the Charter and amendments to the Charter;
6.4.2. determination of the main activities of the Organization;
6.4.3. Approval of reports and statements of other governing bodies of the Organization;
6.4.4. election, and termination of powers, including early termination, of the Head of the Organization and the Deputy Head of the Organization;
6.4.5. Realization of ownership of the property and funds of the Organization, alienation of the Organization's property for the amount of fifty percent or more of the Organization's property, as well as delegation of certain powers and responsibilities for economic management of the Organization's assets to other governing bodies of the Organization;
6.4.6. Cancellation of decisions of the governing bodies taken in violation of the law, their competence or those that violate the legal rights of the members of the Organization;
6.4.7. making a decision on termination of the Organization's activities (reorganization or self-dissolution), appointment of the liquidation commission, approval of the liquidation balance sheet;
6.4.8. admission to (and exclusion from) membership in the Organization;
6.4.9. approval of the amount and mechanism of payment of entrance and membership fees;
6.4.10. approving the symbols and other attributes of the Organization;
6.4.11. making decisions on the establishment and termination of separate divisions of the Organization, determining the location of separate divisions;
6.4.12. making a decision on the appointment and dismissal of the head of a separate subdivision of the Organization;
6.4.13. making decisions on the establishment of public unions with other legal entities of private law;
6.4.15. The General Meeting may also consider and make decisions on any other issues of the Organization's activities, including those referred by this Charter to the exclusive competence of other governing bodies of the Organization.
6.5. The Head of the Organization shall be responsible for preparing and conducting meetings of the General Meeting, storing minutes and other documentation of its previous meetings.
6.6. The Head of the Organization ensures the current activities and organization of the implementation of the decisions of the General Meeting of the Organization and is the highest official of the Organization, as well as the sole executive body of the Organization. The Head of the Organization is elected by the General Meeting for a term of three years.
6.7. The Head of the Organization within his/her competence:
6.7.1. act on behalf of the Organization in relations with public administration and local self-government bodies, as well as other legal entities and individuals without a power of attorney;
6.7.2. manages the work of the Organization, controls the implementation of statutory requirements, decisions of the General Meeting of the Organization;
6.7.3. heads the work of the Organization and is personally responsible for the current activities of the Organization;
6.7.4. represents the Organization and issues powers of attorney to other persons to represent the interests of the Organization;
6.7.5. on behalf of the Organization, perform transactions, conclude and sign, amend and terminate agreements, contracts with any persons, dispose of funds and property of the Organization, within the limits provided for by the current legislation and this Statute;
6.7.6. opens accounts in banking and other financial institutions, signs financial documents and manages the financial activities of the Organization, has the right to be the first signatory of banking and other financial and settlement documents;
6.7.7. issues orders binding on the members of the Organization, employees of the Organization and its separate subdivisions;
6.7.8. Hires and dismisses employees of the Organization, manages their activities;
6.7.9. prepare and submit reports on the activities of the Organization;
6.7.10. performs operational and economic management of the Organization's activities;
6.7.11. organize holding of the General Meeting and formation of its agenda, preparation of materials on the agenda, preliminary consideration of all issues within the competence of the General Meeting and preparation of draft resolutions on these issues for the General Meeting;
6.7.12. develops strategies for the Organization's activities, including the current strategy, to achieve its statutory goals, and organizes its implementation;
6.7.13. submits recommendations to the General Meeting on determining the main and other areas of the Organization's activities, approving plans and reports on their implementation, and other proposals on the Organization's activities;
6.7.14. implements the current plans of the Organization's activities and the measures necessary for their implementation;
6.7.15. organize document flow, office work, accounting and tax accounting and reporting of the Organization;
6.7.16. dispose of the property of the Organization, except for the restrictions and cases established by the General Meeting and this Charter;
6.7.17. spend the Organization's funds within the approved estimates (budgets) of the Organization;
6.7.18. approves the internal organizational structure of the Organization and its staffing;
6.7.19. hires and dismisses employees of the Organization;
6.7.20. considers complaints against decisions of the Organization's separate divisions, if any;
6.7.21. determine the date, place and agenda of the regular (or extraordinary) General Meeting of the Organization;
6.7.22. performs other actions and carries out other activities aimed at implementing the statutory purpose and activities of the Organization, which are not within the exclusive competence of the General Meeting of the Organization.
6.8. For the effective operation of the Organization, the position of the Deputy Chairman of the Organization shall be introduced in its structure, which may be several. The election of the Deputy Heads of the Organization is carried out by the General Meeting of the Organization. The Deputy Heads of the Organization are appointed for a term of three years.
6.9. Deputy Head of the Organization within his/her competence:
6.9.1. within its competence and on the basis of a power of attorney issued by the Head of the Organization, conclude agreements, contracts, on the terms and conditions specified in this Charter and internal documents of the Organization;
6.9.3. within its competence, issues orders related to the scope of its activities and the functions it performs;
6.9.4. performs other actions and carries out other activities aimed at realization of the statutory goals and objectives of the Organization.
6.10. The Deputy Head of the Organization is accountable and controlled by the General Meeting of the Organization. By the decision of the General Meeting, and in the period between the General Meetings - by a written order of the Head of the Organization, other powers may be transferred to the competence of the Deputy Head of the Organization, except for those that fall within the exclusive competence of the General Meeting of the Organization. In the event of temporary absence or inability of the Head of the Organization to perform his duties, his duties are performed by one of the Deputy Heads of the Organization, which is determined by a written order of the Head of the Organization, and in case of impossibility of obtaining the specified document - by decision of the General Meeting of the Organization.
7. THE PROCEDURE FOR APPEALING DECISIONS, ACTIONS, INACTION OF THE ORGANIZATION'S GOVERNING BODIES
7.1. Each member of the Organization has the right to appeal against decisions, actions and inactions of the governing bodies of the Organization.
7.2. Complaints against decisions, actions and omissions of the governing bodies/officials of separate subdivisions shall be considered by the Head of the Organization within one month from the date of their receipt, and the applicant shall be sent a written decision on the complaint.
7.3. Complaints against decisions, actions and omissions of the Head of the Organization and the Deputy Head of the Organization shall be considered by the regular or extraordinary General Meeting of the Organization, but not later than within one month from the date of their receipt, and the applicant shall be sent a written decision on the consideration of the complaint.
7.4. Appealed decisions of the General Meeting of the Organization adopted in violation of the law, their competence or those that violate the legal rights of the members of the Organization may be canceled in court.
8. REPORTING PROCEDURE OF THE ORGANIZATION'S GOVERNING BODIES
8.1. The governing bodies of the Organization, namely the heads of separate divisions, the Chairman of the Organization, the Deputy Head of the Organization, report annually on their work to the members of the Organization at the General Meeting.
8.2. The report is prepared separately by each governing body of the Organization, in accordance with the organizational structure of the Organization.
8.3. The report reflects information on the performance by the governing bodies of the Organization of their functions and responsibilities, the results of work in the main areas of the Organization's activities, as well as other results of activities achieved by the governing bodies of the Organization during the year. This information is brought to the attention of the members of the Organization, who decide to approve the report and recognize the work of the governing bodies as satisfactory, or initiate the issue of re-election of the governing bodies of the Organization.
9. INTERNATIONAL COOPERATION
9.1. The Organization, in accordance with its statutory objectives and activities, has the right to carry out international relations and activities in the manner prescribed by this Charter and the current legislation of Ukraine.
9.2. The international activity of the Organization is carried out through participation in international projects, work of international organizations, as well as other forms that do not contradict the legislation of Ukraine, norms and principles of international law.
9.3. In carrying out its international activities, the Organization enjoys the full range of rights and obligations of a legal entity.
9.4. Organization:
9.4.1. organizes the exchange of delegations, facilitates the organization of tournaments, competitions, conferences, exhibitions, concerts, festivals, etc. with the participation of foreign partners, and sends its representatives to participate in relevant events outside Ukraine;
9.4.2. conducts research in conjunction with foreign organizations in accordance with the areas of its activities and publishes their results;
9.4.3. implements other joint programs and projects with the participation of foreign partners and international organizations that do not contradict the current legislation of Ukraine.
10. SOURCES OF INCOME AND PROCEDURE FOR USING THE ORGANIZATION'S PROPERTY AND FUNDS
10.1. The organization may own movable and immovable property, tangible and intangible assets, funds, as well as other property legally acquired and necessary for the implementation of its statutory activities.
10.2. The property and funds of the Organization are formed at the expense of:
10.2.1. at the expense of charitable contributions, proceeds in the form of non-refundable financial assistance or voluntary donations from individuals and legal entities, including foreign ones, humanitarian aid;
10.2.2. through grants received free of charge or in the form of non-refundable financial assistance or voluntary donations;
10.2.3. entrance and membership fees;
10.2.4. funds or property received free of charge, humanitarian aid;
10.2.5. grants or subsidies received from state or local funds or as part of charitable assistance;
10.2.6. other sources permitted by the current legislation of Ukraine for non-profit organizations and not leading to the loss of the non-profit status.
10.3. The organization acquires ownership of funds and other property transferred to it by its founders, members (participants) or the state, donated by citizens, enterprises, institutions and organizations, as well as property acquired at its own expense or on other grounds not prohibited by the legislation of Ukraine.
10.4. The Organization may receive property from members of the Organization and other persons (both legal entities and individuals) for free use and use this property to achieve the statutory purpose, as well as to implement tasks and activities.
10.5. The Organization has the right to carry out entrepreneurial activities that contribute to the achievement of its purpose (goals, objectives) and activities determined by the Organization's charter.
10.6. The Organization independently determines the amount and form of use of funds. The structure and estimate of the use of funds shall be developed and approved by the General Meeting of Members of the Organization.
10.7. The income (profits), property and funds of the Organization shall be used exclusively to finance the expenses for the maintenance of the Organization, the realization of the purpose (goals, objectives) and activities determined by the Charter of the Organization.
10.8. The income (profits) and assets of the Organization or a part thereof shall not be distributed among the founders (participants within the meaning of the Civil Code of Ukraine), members and employees (except for payment of their labor, accrual of a single social contribution) of the Organization, members of the governing bodies and other persons related to them.
11. ACCOUNTING, REPORTING AND CONTROL PROCEDURES
11.1. The Organization and legal entities (companies, enterprises) established by it shall, in accordance with the applicable law, carry out operational and accounting records of the results of their activities, submit statistical reports in the prescribed manner and scope to the relevant state authorities, register with the regulatory authorities and make payments to the budget in accordance with the applicable law in Ukraine.
11.2. The Organization reports on its activities and the use of property and/or funds to the members of the Organization.
11.3. The financial year of the Organization coincides with the calendar year. The first fiscal year of the Organization shall begin on the date of its state registration and shall continue until December 31.
11.4. State control over the activities of the Organization shall be exercised by state authorities in accordance with the procedure established by the legislation of Ukraine.
12. SEPARATE DEPARTMENTS OF THE ORGANIZATION
12.1. Separate departments of the Organization:
· are not legal entities;
· are formed on a territorial basis at the level of region, district, city; the location of a separate subdivision is determined by the General Meeting;
· are formed and terminated by the decision of the General Meeting of the Organization;
· act in accordance with the Charter of the Organization;
· use the property that is transferred to them by the decision of the General Meeting of the Organization to achieve the goals of the Organization;
· carry out activities within the powers approved by the General Meeting of the Organization.
12.2. Separate departments:
· provide advisory and other assistance to members of the Organization and other citizens upon their request;
· establish cooperation and exchange of experience with civil society organizations in their region;
· on behalf of the General Meeting of the Organization, organize and facilitate the activities of the Organization in their region;
· participate in the development of measures to share the experience of the Organization's members, which will help to improve their skills;
· carry out other activities in accordance with the Charter of the Organization.
12.3. Head of a separate department of the Organization:
· is appointed and dismissed by the General Meeting of the Organization;
· acts on the basis of a power of attorney issued by the Head of the Organization;
· is subordinate and accountable to the General Meeting of the Organization;
· is responsible for the general management of a separate subdivision.
12.4. Dismissal of the Head of a separate subdivision and/or closure of a separate subdivision shall be carried out by the decision of the General Meeting.
13. TERMINATION OF THE ORGANIZATION'S ACTIVITIES
13.1. The termination of the Organization's activities may be carried out through its self-dissolution, reorganization or by a court decision on prohibition (compulsory dissolution).
13.2. The decision to dissolve the Organization shall be made by the General Meeting if at least 3/4 of the members of the Organization present at the meeting of the General Meeting have voted for it. The General Meeting that has decided to dissolve the Organization shall establish a liquidation commission to terminate the Organization as a legal entity, as well as decide on the use of funds and property of the Organization after its dissolution in accordance with this Charter and the legislation of Ukraine. The liquidation commission shall ensure the implementation of the procedure for the dissolution of the Organization as a legal entity in accordance with the requirements of the legislation of Ukraine.
13.3. The decision to reorganize the Organization shall be made by the General Meeting if at least 3/4 of the members of the Organization present at the meeting of the General Meeting vote for it. In case of reorganization of the Organization, its rights and obligations shall be transferred to its successor. The procedure for reorganization of the Organization is carried out in accordance with the current legislation of Ukraine.
13.4. In the event of termination of the Organization (as a result of its liquidation, merger, division, accession or transformation), its assets shall be transferred to one or more non-profit organizations of the relevant type, other legal entities providing non-state pension provision in accordance with the law (for non-state pension funds), or transferred to the budget.
13.5. If a court decides to ban the Organization, the property, funds and other assets of the Organization shall be transferred to the state budget by a court decision.
14. AMENDMENTS TO THE CHARTER
14.1. Amendments to this Charter shall be adopted exclusively by the General Meeting of the Organization.
14.2. Amendments to this Charter shall be deemed adopted if at least 3/4 of the members of the Organization present at the meeting of the General Meeting vote for them.
14.3. Amendments to the Charter of the Organization shall be notified to the authorized registration authority in accordance with the current legislation of Ukraine.
